Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and BLAZE LABS PTY LTD (ABN 66 694 592 553) ("we," "us," or "our"), concerning your access to and use of the BlazeXL platform ("Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of Service
BlazeXL is a governed runtime for enterprise business logic. The Service provides:
- The Deterministic Runtime: a scalable Python runtime for executing governed logic.
- The Governance Gateway: centralized versioning, permissions, and audit controls for business logic.
- Blaze Blocks: versioned, permissioned, auditable units of logic that can be executed across supported interfaces (Excel, web, API).
The Service is provided "as is" and "as available."
3. User Responsibilities
By using the Service, you agree that:
- Logic Accountability: You are responsible for all logic executed within your provisioned environments, whether authored manually, generated by AI, or obtained from shared sources.
- Data Rights: You must possess all necessary rights and permissions for data you provide to the Service, whether uploaded via Excel, the web interface, or API.
- Prohibited Use: You will not attempt to circumvent execution isolation, perform unauthorized security testing, use the Service to process illegal content, or interfere with other users' access.
- Compliance: Your use of the Service must comply with all applicable local, state, and international laws, including data protection and financial regulations.
4. Execution Isolation
BlazeXL executes logic in isolated, containerized environments. While we maintain robust isolation controls, you acknowledge that executing logic carries inherent computational risks. BlazeXL is not responsible for errors in logic authored, modified, or deployed by you.
5. AI-Assisted Logic
The BlazeXL AI Analyst generates Python code based on user instructions. While we provide tools to review and verify generated code, you are responsible for auditing any AI-generated logic before promoting it to production use within your organization.
6. Intellectual Property
The BlazeXL platform, including its infrastructure, interfaces, and documentation, is the exclusive property of BLAZE LABS PTY LTD. Your proprietary data and the logic contained within your Blaze Blocks remain your intellectual property. We claim no ownership over your content.
7. Subscriptions and Payment
Access to the Service is provided on a subscription basis. Fees are billed according to your selected plan and tier. Organizations are responsible for managing their user access and ensuring their plan allocation suits their active user base.
Payment terms, refund eligibility, and plan changes are governed by the pricing terms presented at the time of subscription.
8. Termination
You may terminate your account at any time through your Workspace settings or by contacting support.
We may suspend or terminate your access if:
- You breach these Terms
- Your use poses a security risk to the Service or other users
- Required by law
Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days to allow recovery, after which it will be permanently deleted unless longer retention is required by law.
9. Data on Account Closure
When your account is closed:
- Blaze Blocks: Your published logic will be removed from the Governance Gateway within 30 days.
- Execution Metadata: Audit logs related to your account will be retained for the minimum period required by applicable law, then deleted.
- Personal Data: Handled in accordance with our Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by law, BLAZE LABS PTY LTD shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of, or inability to use, the Service. Our platform provides the runtime; the decisions made using outputs from that runtime remain your responsibility.
11. Indemnification
You agree to indemnify and hold harmless BLAZE LABS PTY LTD from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. Service Availability
We use commercially reasonable efforts to maintain Service availability but do not guarantee uninterrupted access. Availability may be affected by maintenance, infrastructure issues, or circumstances beyond our control on the Deterministic Runtime.
13. Force Majeure
Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, pandemics, or acts of terrorism.
14. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes arising from your use of the Service shall be resolved in the courts of Victoria, Australia.
15. Changes to These Terms
We reserve the right to update these Terms to reflect changes in our practices or legal requirements. Material changes will be communicated via email or a notice within the Workspace at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
